Terms Of Use
TERMS & CONDITIONS
These Terms & Conditions describe general conditions relating to services requested from BioSphere Services.
Specific projects may also be governed by estimates, proposals, work authorizations, invoices, change orders, or other written agreements.
If a project-specific written agreement contains terms that differ from these general Terms & Conditions, the project-specific agreement will control for that project to the extent permitted by applicable law.
1. Services
BioSphere Services provides specialized cleanup, remediation, and related property services.
The exact services required for a particular project depend on the circumstances, property conditions, requested work, accessibility, and any assessment performed before or during the project.
2. Service Requests
Contacting BioSphere Services, submitting a service request, or requesting an estimate does not by itself create a binding service agreement.
BioSphere Services may evaluate a request before determining whether services can be provided.
A service relationship is established through the applicable authorization, estimate, proposal, agreement, or other accepted arrangement.
3. Customer Authorization
A person requesting or authorizing services should have appropriate authority to approve access to the property and the requested work.
BioSphere Services may request confirmation of authorization when reasonably necessary.
Where additional authorization is required from a property owner, authorized representative, agency, or other appropriate party, work may be delayed until that authorization is obtained.
4. Estimates and Scope of Work
Any estimate or proposed scope of work is based on information reasonably available at the time it is prepared.
Actual property conditions may differ from information initially provided or from conditions visible during an initial assessment.
The applicable estimate, work authorization, proposal, or agreement should describe the services and pricing applicable to the specific project.
5. Additional or Hidden Conditions
Cleanup and remediation work may reveal contamination, damage, materials, hazards, or other conditions that were not reasonably visible or known before work began.
If additional conditions are identified, BioSphere Services may recommend changes to the scope of work.
Where reasonably practicable, material additional work should be authorized before it is performed.
BioSphere Services may delay or stop work if continuing would be unsafe, unlawful, or materially outside the authorized scope.
6. Property Access
The customer is responsible for providing reasonable access to the property and areas where authorized services will be performed.
Customers should disclose known conditions that could materially affect access, safety, or performance of the work.
These conditions may include:
● Known hazards
● Restricted areas
● Structural issues
● Utility problems
● Animals
● Chemicals
● Other relevant property conditions
7. Safety
Certain cleanup and remediation environments may present health or safety risks.
Customers, occupants, visitors, and other unauthorized persons should follow reasonable safety and access instructions while work is being performed.
BioSphere Services may restrict access to affected work areas when reasonably necessary for safety or project performance.
8. Personal Property and Materials
Depending on the circumstances, affected personal property or building materials may require cleaning, removal, or disposal.
BioSphere Services does not guarantee that every affected item or material can be restored.
Where reasonably practicable, significant decisions involving customer property should be discussed with the authorized customer.
9. Scheduling
Scheduling, arrival times, project duration, and completion times may depend on factors including:
● Property access
● Project conditions
● Safety requirements
● Scope of work
● Availability
● Third-party involvement
● Circumstances outside BioSphere Services' reasonable control
Unless expressly stated in a written agreement, estimated arrival or completion times are not guaranteed.
10. Pricing and Payment
Pricing and payment obligations for a project will be stated in the applicable estimate, invoice, work authorization, or service agreement.
These general Terms & Conditions do not independently create:
● A deposit requirement
● A fixed payment schedule
● A refund period
● A cancellation fee
● A financing arrangement
● A particular payment method
Any such terms should be established separately where applicable.
11. Insurance-Related Information
BioSphere Services may provide documentation or information that a customer chooses to use in connection with an insurance claim.
BioSphere Services does not control an insurer's decisions and does not guarantee:
● Insurance coverage
● Approval of a claim
● Payment of any particular amount
● Approval of a particular scope of work
Insurance coverage and claim decisions are determined by the applicable insurance policy and insurer.
12. Changes to the Scope of Work
The scope of work may need to change when additional conditions are discovered or when additional services are requested.
Material changes should be documented or authorized where reasonably practicable.
Changes to the scope may affect project timing or cost.
13. Cancellations and Rescheduling
Any cancellation, rescheduling, deposit, or related project terms will be governed by the agreement applicable to the specific service.
These general Terms & Conditions do not create a cancellation fee or non-refundable payment unless one has been separately disclosed and agreed upon.
Nothing in these Terms limits cancellation rights that applicable law does not permit to be waived.
14. Customer Responsibilities
Customers are responsible for:
● Providing materially accurate information
● Providing appropriate access and authorization
● Informing BioSphere Services of known hazards or relevant property conditions
● Following reasonable safety instructions
● Keeping unauthorized persons away from restricted work areas
● Meeting obligations contained in the applicable service agreement
15. Third-Party Services
A project may sometimes involve services, decisions, or activities performed by independent third parties.
Where third parties are involved, their services may be subject to separate terms and conditions.
BioSphere Services is not responsible for the independent acts or omissions of third parties except where responsibility exists under applicable law or a written agreement.
16. Service Outcomes
BioSphere Services will perform authorized work according to the applicable scope of work.
Project outcomes may depend on factors including:
● Property conditions
● The nature and extent of affected materials
● Accessibility
● Conditions discovered during the work
● Actions of third parties
● Work outside the authorized scope
Unless specifically stated in a written agreement, BioSphere Services does not guarantee that every item can be restored, every condition can be corrected without additional work, or an independent third party will approve a particular result.
17. Suspension or Discontinuation of Work
BioSphere Services may delay, suspend, or discontinue work when reasonably necessary because of:
● Unsafe conditions
● Lack of appropriate authorization
● Material interference with the work
● Conditions materially outside the authorized scope
● Applicable legal or governmental restrictions
● Material failure to comply with an applicable service agreement
Any resulting obligations will be determined under the applicable agreement and applicable law.
18. No Medical, Legal, or Insurance Advice
BioSphere Services provides cleanup, remediation, and related services.
Information provided in connection with those services should not be treated as individualized medical, legal, or insurance advice.
Questions regarding medical exposure, legal rights, or insurance coverage should be directed to an appropriately qualified professional.
19. Limitation of Liability
Any project-specific liability provisions should be contained in the applicable service agreement.
Nothing in these general Terms & Conditions excludes liability or limits rights where applicable law does not permit those rights or liabilities to be excluded.
20. Privacy
Personal information associated with service inquiries and customer communications is handled according to our Privacy Policy and applicable law.
21. Changes to These Terms
BioSphere Services may update these general Terms & Conditions for future service requests.
Changes posted to the website do not automatically modify an existing signed service agreement.
22. Severability
If any provision of these Terms & Conditions is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
